Good Standing Monitoring: How It Works
“Good standing” is a status assigned by your state’s Secretary of State confirming that your entity is current on all filings and fees. It’s the business equivalent of a clean bill of health. Banks, lenders, landlords, business partners, and licensing agencies routinely request a Certificate of Good Standing before doing business with you.
The problem: you can lose good standing without knowing it. A missed annual report, an unpaid franchise tax, a lapsed registered agent, or even a state clerical error can change your status from “Active” to “Not in Good Standing” — and the state doesn’t necessarily notify you. You typically discover it at the worst possible time: when you need the certificate for a deal, loan, or license renewal.

What if I already missed a deadline?
We can still help. If your report is simply late (not dissolved), file immediately — we’ll handle the overdue report for $49 plus the state fee and late penalty. Does monitoring replace my CPA?
No. We handle state compliance filings — annual reports, registered agent, and good standing. Your CPA handles tax returns (1040, 1065, 1120, 990), quarterly estimated payments, payroll tax filings, and financial planning. We track tax-related deadlines (franchise taxes, estimated payment dates) and send reminders, but the actual tax work is your CPA’s responsibility.
What happens if my state changes its requirements?
States occasionally change annual report fees, deadlines, or filing requirements. When this happens, we update your compliance calendar accordingly and send a notification explaining the change. For example, when Illinois eliminated its franchise tax in 2024, we updated all Illinois entity calendars and notified affected customers.
