Key terms every founder should understand before forming a business.

Articles of Organization

The document filed with the state to legally create an LLC. Includes the company name, registered agent, and basic structure. Sometimes called a Certificate of Formation or Certificate of Organization.

Articles of Incorporation

The document filed with the state to legally create a corporation. Includes the company name, share structure, registered agent, and incorporator information.

Operating Agreement

An internal document that defines LLC ownership, management structure, profit distribution, and member responsibilities. Not filed with the state, but legally important.

Registered Agent

A person or service designated to receive official legal and government correspondence on behalf of your business. Required in every state for LLCs and corporations.

EIN (Employer Identification Number)

A federal tax ID number issued by the IRS. Required for hiring employees, opening business bank accounts, and filing certain tax returns. Free to obtain directly from the IRS.

S-Corp Election

An IRS tax classification (Form 2553) that allows an LLC or corporation to be taxed as an S-Corporation, potentially reducing self-employment taxes on profits above a reasonable salary.

Annual Report

A periodic filing required by most states to keep your business in good standing. Includes current company information and usually involves a small fee. Deadlines vary by state.

DBA (Doing Business As)

A fictitious business name that allows you to operate under a name different from your legal entity name. Sometimes called a trade name or assumed name. Requirements vary by state.
